"Service" or "Services" refers to the consulting services offered by Crestline, including the Data-Informed Decision Framework, Cost Structure Analysis, and Executive Coaching Program. "User," "you," or "your" refers to any individual or entity accessing our website or engaging our services. "Website" refers to the site hosted at https://crestlinener.live. "Agreement" refers to these Terms and Conditions along with any engagement-specific terms agreed upon separately.

2. Acceptance of Terms

By accessing our website or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, please do not use our website or services. You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our services.

3. Service Description

Crestline provides business consulting services to organizations in Taiwan and the broader Asia-Pacific region. Our services include data-informed decision frameworks, cost structure analysis, and executive coaching programs. The specific scope, deliverables, and timeline for each engagement are outlined in a separate engagement agreement or proposal document. Service availability may vary depending on our current capacity and the nature of the request.

4. User Responsibilities

When using our website, you agree to use it only for lawful purposes and in a manner consistent with these terms. You will not attempt to gain unauthorized access to any part of the website or its underlying systems. You will not use the website to transmit harmful, offensive, or misleading content. You will provide accurate and complete information when submitting inquiries through our contact form.

When engaging our consulting services, you agree to provide timely access to the information, personnel, and resources necessary for us to complete the agreed-upon work. You acknowledge that delays in providing required materials may affect project timelines.

5. Intellectual Property

All content on this website — including text, graphics, logos, icons, and design elements — is the property of Crestline or its content suppliers and is protected under applicable intellectual property laws in Taiwan. You may not reproduce, distribute, modify, or create derivative works from any website content without our prior written consent.

Regarding consulting deliverables: upon full payment for a consulting engagement, the client receives a non-exclusive, non-transferable license to use the frameworks, reports, and materials produced during that engagement for their internal business purposes. Crestline retains the underlying methodologies, templates, and intellectual property used to create those deliverables.

6. Payment Terms

Fees for our consulting services are specified in the engagement proposal or agreement provided before work begins. All prices are quoted in New Taiwan Dollars (NT$) unless otherwise stated. Payment terms, including due dates and accepted methods, are outlined in the engagement agreement. Late payments may be subject to a reasonable administrative fee as specified in the engagement terms.

Refund eligibility depends on the stage of the engagement. If you wish to cancel an engagement before work has commenced, a full refund of any advance payment will be provided. For engagements already in progress, refunds are calculated based on the proportion of work completed. Details are outlined in the engagement agreement.

7. Confidentiality

Crestline treats all client information received during consulting engagements as confidential. We will not disclose your business data, financial information, or organizational details to any third party without your prior written consent, except as required by law. Specific confidentiality provisions may be included in individual engagement agreements or non-disclosure agreements signed before work begins.

8. Disclaimers

Our consulting services are provided on an "as is" basis. While we apply professional standards and diligence to every engagement, we do not warrant that our recommendations will produce specific financial outcomes, business results, or competitive advantages. Consulting outputs represent our professional analysis and opinion based on the information available to us at the time of the engagement.

Nothing in our services constitutes legal, tax, or investment advice. Clients should consult qualified professionals in those fields for matters outside the scope of business consulting. The decision to act on any recommendation remains solely with the client.

9. Limitation of Liability

To the fullest extent permitted by the laws of Taiwan (Republic of China), Crestline's total liability for any claim arising from or related to our services shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim. We shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits or business opportunities, regardless of whether we were advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold harmless Crestline, its directors, employees, and agents from any claims, losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your misuse of our website or services, or your violation of any applicable law or third-party rights.

11. Termination

Either party may terminate a consulting engagement by providing written notice as specified in the engagement agreement. Upon termination, the client is responsible for fees associated with work completed up to the termination date. Crestline will deliver any completed or in-progress deliverables at the time of termination. The confidentiality, intellectual property, and limitation of liability provisions survive termination.

12. Dispute Resolution

These Terms and Conditions are governed by the laws of the Republic of China (Taiwan). Any dispute arising from or related to these terms or our services shall first be addressed through good-faith negotiation between the parties. If negotiation does not resolve the matter within 30 days, either party may submit the dispute to mediation administered by a recognized mediation body in New Taipei City. Should mediation fail, the dispute shall be submitted to the jurisdiction of the Taiwan Taipei District Court.

13. General Provisions

These Terms constitute the entire agreement between you and Crestline regarding the use of our website, subject to any separate engagement agreements for consulting services. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force. Our failure to enforce any right or provision does not constitute a waiver of that right. Crestline may not assign its rights under these Terms without your consent, except in connection with a merger, acquisition, or sale of substantially all of its assets.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes become effective when published on this page with an updated "Last Updated" date. Your continued use of our website or services after changes are posted constitutes acceptance of the revised terms. We encourage you to review this page periodically.
